Terms of Service

Please read carefully. Raijin is an investment service operated by an SEC-registered investment adviser. You connect a brokerage account you own, and Raijin’s automated agents can place real trades in that account on your behalf. Investing involves risk, including the risk of losing all of your money. These Terms, together with your Client Advisory Agreement, govern your use of the Service.

1. Who we are

Raijin (the “Service” or the “Platform”) is operated by Raijin AI, Inc. (“Raijin AI,” “we,” “our,” or “us”). By accessing or using the Service you agree to these Terms of Service. If you use Raijin’s advisory services, your separate Client Advisory Agreement, accepted during account opening, governs that advisory relationship; in the event of a conflict between these Terms and your Client Advisory Agreement with respect to the advisory services, the Client Advisory Agreement controls.

2. The service

Raijin provides investment advisory services through its software platform. Depending on your elections, this may include access to educational content and tools, access to algorithmic strategies (“agents”) developed by Raijin AI or by third-party authors, and discretionary management of a brokerage account you connect. You connect a brokerage account that you own and hold at an independent broker-dealer, and Raijin’s automated agents place orders to buy and sell securities in that external account in accordance with the strategies you have subscribed to. Raijin AI does not hold or take custody of your assets; your assets remain in your own brokerage account, which you own and can access directly at all times.

3. Discretionary trading authority

If you enable discretionary management, you grant Raijin AI limited authority to place orders to buy and sell securities in your connected brokerage account without consulting you on each transaction, solely in accordance with the strategies you have subscribed to and any restrictions you have imposed in writing. This authority does not permit Raijin AI to withdraw or transfer funds or securities from your account or to deliver them to any third party. You may modify or revoke this authority at any time by changing your settings, disconnecting your brokerage, stopping your agents, or contacting us.

4. Regulatory status

Raijin AI, Inc. is registered as an investment adviser with the U.S. Securities and Exchange Commission (SEC) under Section 203(c) of the Investment Advisers Act of 1940 (CRD #342079; SEC File No. 801-136263). Registration became effective on May 14, 2026, pursuant to the Internet Adviser Exemption (Rule 203A-2(e)). Registration with the SEC does not imply a certain level of skill or training, and the SEC has not passed on the merits of Raijin AI, Inc. or any strategy made available through the Service. Raijin AI’s Form ADV and Form CRS are available on the SEC’s Investment Adviser Public Disclosure website.

5. Fees

Raijin AI charges an advisory and service fee for the services you use, as described on the Platform at the time you subscribe. Fees may consist of a flat monthly subscription fee, a per-strategy subscription fee, or a combination of both. Fees are processed by our third-party payment processor and charged to the payment method you provide. We may update our fee schedule from time to time on at least thirty (30) days’ prior notice. Fees are for the advisory and software services described here and are not a deposit into, or a guarantee of any return on, your investment account.

6. Not personalized investment advice outside the advisory relationship

Outside of the discretionary advisory services you expressly enable, nothing on the Service constitutes personalized investment, legal, tax, or financial advice, or a recommendation to buy, sell, or hold any security. Marketing content, educational material, and general strategy descriptions are not tailored to your individual circumstances. You are solely responsible for your own investment decisions, including the decision to subscribe to or stop any agent, and should consider consulting a licensed professional.

7. Performance information

Performance figures shown on the Service that are labeled “Backtest” represent hypothetical performance simulated using historical data. Hypothetical performance has inherent limitations: it does not reflect actual trading and may differ materially from the results that would have been achieved had the strategy been executed live, including the impact of liquidity constraints, market disruptions, slippage, and the discipline required to follow a model in real time. Hypothetical results are prepared with the benefit of hindsight.

Performance figures labeled “Since launch” reflect a model agent’s track record from its listing date. All performance figures are shown gross of any subscription or advisory fees, brokerage commissions, taxes, or other expenses that an investor would incur; net returns to an individual investor would be lower. Individual results vary based on account size, timing, broker execution, and other factors. Past performance does not guarantee future results.

8. Risk disclosure

Trading and investing in securities involves substantial risk, including the risk of total loss of principal. Past performance, whether live or backtested, does not guarantee future results. Algorithmic and automated strategies can and do lose money, may behave unexpectedly in unusual market conditions, and depend on data feeds, brokers, and other third-party systems that can fail or be delayed. You should only invest capital you can afford to lose. Raijin AI does not guarantee any level of performance or the achievement of any investment objective.

9. Third-party agents

Some agents are published by third-party authors. Those authors are not employees, agents, or representatives of Raijin AI and are not themselves registered investment advisers; your advisory relationship is with Raijin AI. Raijin AI reviews third-party content for compliance with its content standards but does not independently validate an author’s performance or market views, and such strategies are general rather than personalized to your circumstances. An author may stop maintaining a strategy at any time.

10. Your account and acceptable use

You agree to provide accurate information, keep your credentials secure, and use the Service only as permitted. You agree not to misuse the Service, including by attempting to gain unauthorized access, interfering with other users, scraping at volumes that degrade the Service, or using the Service to violate any law or third-party right. We may suspend or terminate your access for any violation of these Terms.

11. Termination and account closure

Either you or Raijin AI may terminate your use of the Service at any time. You can close your account in the app under Profile → Account → Delete account, which cancels any active subscription, stops your agents, and disconnects your brokerage. Upon termination we will cease placing new trades on your behalf and cease charging fees, except for fees already earned. Certain records are retained as described in our Privacy Policy to satisfy regulatory recordkeeping obligations.

12. No warranty

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, or availability. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

13. Limitation of liability

To the fullest extent permitted by law, Raijin AI, Inc. and its officers, employees, and affiliates will not be liable for any indirect, incidental, consequential, or punitive damages arising out of or relating to your use of the Service. Nothing in these Terms waives or limits any right you may have under federal or state securities laws, the rules thereunder, or any other law whose applicability may not be contractually waived.

14. Governing law and dispute resolution

These Terms are governed by the laws of the State of Georgia, without regard to its conflict of laws principles, except to the extent preempted by federal law. The dispute-resolution and arbitration provisions of your Client Advisory Agreement, where applicable, govern disputes relating to the advisory services. Nothing in these Terms waives or limits any right you may have under federal or state securities laws or any other law whose applicability may not be contractually waived.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Your continued use of the Service after an update constitutes acceptance of the revised Terms.
